1. Services Provided
The Company agrees to provide professional business consultation services, including but not limited to:
1.1 Bankable Coaching: Guidance to enhance financial credibility, business strategies, and readiness for securing funding.
1.2 Lender Compliance Training: Training on compliance with lending standards, regulatory requirements, and financial documentation best practices.

2. Client Responsibilities
2.1 Accurate Information: The Client shall provide accurate and complete information necessary for the Company to deliver the services effectively.
2.2 Active Participation: The Client is responsible for active engagement in training sessions and timely completion of assignments or deliverables as applicable.
2.3 Compliance: The Client must comply with all applicable laws and regulations related to their business operations.

3. Fees and Payment Terms
3.1 Service Fees: Fees for services will be outlined in the agreed proposal or invoice.
3.2 Payment Schedule: Payments are due as specified in the invoice. Non-payment may result in suspension or termination of services.
3.3 Refund Policy: Payments are non-refundable except in cases where the Company fails to deliver agreed-upon services due to its own negligence.

4. Confidentiality
4.1 Non-Disclosure: Both parties agree to maintain confidentiality of all proprietary or sensitive information shared during the course of the engagement.
4.2 Exceptions: Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

5. Intellectual Property
5.1 Ownership: All training materials, resources, and methodologies provided by the Company remain the intellectual property of the Company unless otherwise agreed.
5.2 License: The Client is granted a limited, non-transferable license to use the materials solely for internal business purposes.

6. Limitation of Liability
6.1 No Guarantee: The Company does not guarantee specific outcomes, such as loan approvals or financial performance improvements, as results depend on numerous external factors beyond its control.
6.2 Liability Cap: The Company’s total liability for any claim arising from the services shall not exceed the total fees paid by the Client for the specific services in question.

7. Termination
7.1 Termination by Client: The Client may terminate the engagement with 30 days’ written notice, subject to payment of fees for services rendered up to the termination date.
7.2 Termination by Company: The Company may terminate the agreement for breach of these Terms or if the Client engages in unlawful or unethical business practices.

8. Force Majeure
The Company shall not be held liable for delays or failure to perform due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, or governmental actions.

9. Governing Law and Dispute Resolution
9.1 Governing Law: These Terms shall be governed by the laws of the Texas.
9.2 Dispute Resolution: Any disputes shall be resolved through mediation. If mediation fails, the dispute shall be settled through binding arbitration under the rules of the American Arbitration Association.

10. Amendments
The Company reserves the right to amend these Terms at any time with 30 days’ notice to the Client. Continued use of services after the effective date of amendments constitutes acceptance of the revised Terms.

11. Entire Agreement
These Terms constitute the entire agreement between the Company and the Client, superseding all prior agreements or understandings, whether written or oral.
